6. Limitation of Liability
In no event shall Global Paratransit, Inc. nor any of its officers, directors and employees, be liable to you or any third party, for any direct, indirect, consequential, incidental, putative, or damages of any kind, arising out of or in any way connected with your use of this Site, including loss of data, lost profits, or other damages arising from your use of the Site.
7. Indemnification
You hereby agree to indemnify and hold Global Paratransit, Inc. harmless from any and all liabilities, obligations, damages, injuries, penalties, claims, actions, suits, judgments, and any and all costs or expenses (including reasonable attorneys’ fees and expenses) arising out of or in any way related to your breach of any of the provisions of these Terms.
8. Severability
Should any provision of these Terms be declared illegal or unenforceable by any court of competent jurisdiction and cannot be modified to be enforceable such provision shall immediately become null and void, leaving the remainder of these Terms in full force and effect.
9. Arbitration
To expedite resolution and control the cost of any dispute, controversy or claim related to these Terms (each a “Dispute” and collectively, “Disputes”), any Dispute brought by either you or us (individually, a “Party” and collectively, the “Parties”) shall be finally and exclusively resolved by binding arbitration. This provision requires all such disputes to be resolved through final and binding arbitration, on an individual basis, and not by way of court or jury trial.
The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules.
The arbitration may be conducted as permitted by the AAA Consumer Rules. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.
Except where otherwise required by the applicable AAA Rules or applicable law, the arbitration will take place in Los Angeles County, California. If for any reason, a Dispute is brought in court rather than arbitration as required under the provision, you agree that only the California Superior Court, County of Los Angeles, has exclusive jurisdiction.
If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

11. Entire Agreement
These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between you and Global Paratransit, Inc..
